Advertiser Agreement
This Advertiser Agreement ("Agreement") is a legal contract between Black Escorts Directory ("the Website," "we," "us," or "our") and the individual or entity advertising on the Website ("Advertiser," "you," or "your"). By purchasing or using advertising services on the Website, you agree to be bound by this Agreement. If you do not agree to these terms, you may not use our advertising services.
#### 1. *Definitions*
- *Advertiser*: The individual or entity purchasing advertising space or services on the Website.
- *Advertising Services*: The services provided by the Website, which include the placement of ads, banners, profiles, or listings on the Website.
- *Content*: Any text, images, graphics, videos, or other materials submitted by the Advertiser for inclusion in their advertisement.
#### 2. *Advertising Services*
- The Website provides advertising space to Advertisers for promoting escort services or other related services.
- The scope of the Advertising Services includes the publication of Advertiser-provided Content on the Website in various formats, such as listings, banners, and promotional ads, according to the pricing and specifications outlined on the Website or in a separate agreement with the Advertiser.
- The exact placement, duration, and visibility of advertisements will be subject to availability and the terms of the Advertising Services purchased by the Advertiser.
#### 3. *Eligibility and Legal Compliance*
- The Advertiser represents and warrants that they are at least 18 years old and legally permitted to advertise escort or related services in their jurisdiction.
- The Advertiser is responsible for ensuring that their advertisements comply with all applicable local, state, national, and international laws, including, but not limited to, those relating to adult services, advertising, and consumer protection.
- *No Illegal Activity*: Advertisements that promote illegal activities, including but not limited to prostitution, human trafficking, or exploitation, are strictly prohibited. The Website reserves the right to reject, suspend, or remove any advertisement that violates applicable laws or this Agreement.
#### 4. *Advertiser Responsibilities*
- The Advertiser is over 18 years of age and have authority to enter into these Commercial Membership Terms and Conditions on its behalf;
- The Advertiser agrees to provide accurate, lawful, and non-misleading Content for their advertisements.
- The Advertiser is responsible for ensuring that all Content is free of any viruses, malware, or other harmful code.
- The Advertiser grants the Website a non-exclusive, worldwide, royalty-free license to use, reproduce, display, and distribute the Content for the purposes of fulfilling the Advertising Services.
- The Advertiser agrees to maintain the accuracy of the Content throughout the term of the advertisement and promptly notify the Website of any changes that need to be made.
#### 5. *Prohibited Content*
The Advertiser agrees not to submit any Content that:
- Promotes illegal activities or violates applicable laws or regulations.
- Contains false, defamatory, libelous, or misleading information.
- Includes inappropriate, offensive, or harmful material, such as hate speech, violence, or discrimination based on race, gender, religion, or sexual orientation.
- Violates the intellectual property rights, privacy, or publicity rights of any third party.
The Website reserves the right to review, reject, or remove any Content that it deems inappropriate, harmful, or in violation of this Agreement, without notice and without liability.
#### 6. *Payment and Fees*
- Advertisers agree to pay all fees associated with the Advertising Services they purchase as outlined on the Website or in a separate agreement.
- All payments are due in advance unless otherwise agreed upon in writing.
- *Non-refundable*: All advertising fees are non-refundable, except in cases where the Website fails to provide the Advertising Services due to its own fault or negligence.
- *Failure to Pay*: If the Advertiser fails to make timely payments, the Website may suspend or terminate the Advertiser’s access to the Advertising Services without further notice.
#### 7. *Term and Termination*
- This Agreement will remain in effect for the duration of the advertising term purchased by the Advertiser.
- Either party may terminate this Agreement by providing written notice
